INTRODUCTION
These Terms & Conditions (“Terms”, “Agreement”) govern access to and use of the TradeVistar website, mobile
applications, seller portal, buyer portal, admin-managed services and related services (collectively, the “Platform”).
TradeVistar is operated by [LEGAL ENTITY NAME], having its registered office at [REGISTERED OFFICE ADDRESS],
India (“TradeVistar”, “Company”, “we”, “us”, “our”).
By registering, accessing, browsing or using the Platform, you agree to these Terms and all applicable policies
referred to in these Terms.
If you do not agree with these Terms, you must not use the Platform.

1. DEFINITIONS

“Buyer” means an individual, business, company, retailer, reseller, distributor, wholesaler or other entity purchasing
or intending to purchase products through the Platform.
“Seller” / “Supplier” means a manufacturer, wholesaler, distributor, trader, brand, supplier or business listing
products on the Platform.
“Product” means any goods or products listed or offered by a Seller through the Platform.
“Order” means a purchase request placed by a Buyer and accepted/confirmed in accordance with the Platform
workflow.
“RFQ” means a Request for Quotation submitted by a Buyer to obtain quotations from one or more Sellers.
“Sample Request” means a request made by a Buyer to obtain a sample before placing a bulk order.
“Logistics Partner” means a third-party delivery, courier, transportation or logistics service provider integrated
with or selected through the Platform.
“Payment Gateway” means an authorised third-party payment service provider used for processing payments.
“Platform Content” means text, images, logos, graphics, software, designs, databases and other content owned or
licensed by TradeVistar.

1. NATURE OF TRADEVISTAR

TradeVistar is a B2B marketplace that facilitates discovery, communication and transactions between Buyers and
Sellers.
TradeVistar may provide:
Bulk Buying & Selling
Product discovery
Supplier discovery
Supplier verification
Product and price comparison
Request for Sample
RFQ and quotation workflows
Direct bulk ordering
Payment facilitation through authorised payment service providers
Logistics and delivery facilitation
Order tracking
Invoices and transaction records
Business communication tools
Seller subscription services
Promotional and advertising services
Unless expressly stated otherwise, TradeVistar is a marketplace and technology platform and is not the
manufacturer, owner, seller, purchaser, transporter or insurer of products listed by third-party Sellers.

1. ELIGIBILITY

Users must be legally competent to enter into a binding agreement, provide accurate registration information, use
the Platform only for lawful business purposes and have authority to act on behalf of a business/entity where
applicable.
TradeVistar may restrict or terminate accounts that fail applicable eligibility requirements.

1. ACCOUNT REGISTRATION

Users are responsible for maintaining the confidentiality of login credentials, passwords, OTPs, account
information and other security details.
Users must immediately notify TradeVistar if they suspect unauthorised access or misuse of their account.

1. BUSINESS AND KYC INFORMATION

TradeVistar may request PAN, GSTIN, business registration documents, identity documents, address proof, bank
details, business ownership information and other KYC/verification documents.
TradeVistar may verify such information directly or through authorised third parties.
Providing false, misleading, incomplete or fraudulent information may result in suspension or termination of the
account.

1. PRODUCT LISTINGS

Sellers are solely responsible for ensuring that their Product listings are accurate, complete, current and legally
compliant.
A Seller must not list counterfeit, stolen, prohibited, restricted or unlawful Products.
TradeVistar may remove or restrict listings that violate applicable law, Platform policies or these Terms.

1. PRODUCT PRICING

Product prices are determined by Sellers unless otherwise expressly indicated.
Prices may change without prior notice until an Order is confirmed.
GST, taxes, delivery charges, packaging charges, handling charges, Platform/service charges and other applicable
charges may apply depending on the transaction.

1. BUYER ORDERS

A Buyer may place an Order through the Platform according to the available ordering workflow.
Submission of an Order does not necessarily constitute final acceptance by the Seller.
An Order becomes binding according to the confirmation shown on the Platform or communicated by the
Seller/TradeVistar.
TradeVistar may cancel or restrict an Order for reasons including Product unavailability, incorrect pricing, Seller
rejection, suspected fraud, payment failure, regulatory restrictions, logistics unavailability, technical errors or force
majeure events.

1. REQUEST FOR SAMPLE

TradeVistar may enable Buyers to request Product samples before placing bulk Orders.
Sample availability, price, shipping charges, delivery time and refundability may vary by Seller.
A sample approval does not automatically guarantee that a subsequent bulk Order will be identical unless expressly
agreed between Buyer and Seller.

1. RFQ AND QUOTATIONS

TradeVistar may provide an RFQ system through which Buyers can submit requirements to multiple Sellers.
Seller quotations may include Product price, MOQ, sample terms, delivery timeline, taxes, shipping charges,
payment terms, Product specifications and validity period.
A quotation is subject to the terms stated by the Seller.
TradeVistar does not guarantee that every quotation will be accurate, lowest-priced, available or accepted.

1. SELLER-BUYER CONTRACT

Unless expressly stated otherwise, the commercial contract for a Product is primarily between the Buyer and Seller.
The Buyer and Seller are responsible for agreeing on Product specifications, quantity, quality, price, MOQ, delivery,
warranty, returns, replacement, taxes and other commercial terms.
TradeVistar may facilitate the transaction but does not automatically become a party to the underlying sale
contract.

1. PAYMENTS

Payments may be processed through third-party authorised payment service providers.
TradeVistar may support UPI, debit/credit cards, net banking and other available payment methods, subject to
availability.
Payment processing is subject to the terms, security controls and policies of the relevant payment service provider.
TradeVistar does not request or require users to share card PINs, CVVs, OTPs or payment passwords with
TradeVistar personnel.

1. PAYMENT CONFIRMATION

An Order shall be treated as paid only after payment confirmation is received through the applicable payment
system.
A failed, reversed, pending or unauthorised transaction may result in Order suspension or cancellation.

1. REFUNDS

Refund eligibility depends on Order status, Product, Seller policy, cancellation reason, return eligibility, payment
method, applicable law and investigation outcome.
Approved refunds will generally be processed through the original payment method or another permitted method.
Actual credit timing depends on the relevant banking/payment institution.

1. LOGISTICS AND DELIVERY

TradeVistar may facilitate delivery through third-party logistics partners.
Delivery timelines are estimates unless expressly guaranteed.
Delivery may be affected by pickup delays, incorrect address, Buyer unavailability, Seller delays, weather, traffic,
government restrictions, natural disasters, serviceability limitations and force majeure events.
TradeVistar does not guarantee delivery timelines controlled by independent logistics providers.

1. DELIVERY CONFIRMATION

Delivery may be confirmed through OTP, digital confirmation, proof of delivery, signature, delivery partner records
or other electronic evidence.
Once delivery is confirmed, applicable return/refund windows may commence.

1. RETURNS, REPLACEMENT AND REFUNDS

Returns, replacements and refunds are subject to the applicable Order policy and Product category.
A Buyer may be required to provide Order ID, photographs, unboxing video, Product condition evidence, packaging
evidence, delivery evidence and other supporting documents.
TradeVistar may investigate disputes before approving a return, replacement or refund.

1. SELLER SUBSCRIPTION

TradeVistar may offer paid subscription plans to Sellers.
Subscription plans may include Product listing limits, sponsored Products, promotional opportunities, banner
placement, Brand Store, account management, catalogue management, advertising credits, analytics, Flash Deals,
Stock Clearance and other features.
Features and limits depend on the selected plan.
TradeVistar may change future plan features, pricing or benefits subject to applicable notice requirements.

1. NO TRANSACTION COMMISSION

Unless expressly disclosed otherwise for a particular service, TradeVistar does not charge a transaction/order
commission merely for completing a Buyer-Seller transaction.
TradeVistar may generate revenue through Seller subscriptions, advertising, promotional services, logistics/service
fees or other separately disclosed services.
Third-party payment gateway fees, logistics charges, taxes and other applicable charges may still apply.

1. PROHIBITED ACTIVITIES

Users must not:
Provide false information.
Create fraudulent accounts.
Manipulate ratings/reviews.
Upload counterfeit Products
Sell prohibited Products.
Conduct fraudulent transactions.
Circumvent Platform security.
Scrape Platform data without permission.
Introduce malware.
Attempt unauthorised access.
Manipulate Orders.
Abuse refunds.
Misuse promotional offers.
Harass other users.
Use TradeVistar for unlawful activities.

1. INTELLECTUAL PROPERTY

TradeVistar and its licensors retain all rights in the TradeVistar name, logo, website design, mobile applications,
software, databases, content, graphics, Platform technology and trademarks.
Users may not copy, reproduce, modify, distribute, reverse engineer or commercially exploit TradeVistar
intellectual property without written permission.

1. USER CONTENT

Users may upload Product images, descriptions, documents, reviews and other content.
Users represent that they have the necessary rights to upload such content.
By uploading content, the User grants TradeVistar a non-exclusive licence to host, display, reproduce and use such
content for operating, marketing and improving the Platform, subject to applicable law and the Privacy Policy.

1. REVIEWS AND RATINGS

Reviews must be genuine and based on actual transactions or experiences.
Users must not post fake reviews, manipulate ratings, offer incentives for misleading reviews, post defamatory
content or review competitors deceptively.
TradeVistar may moderate or remove content that violates Platform policies or applicable law.

1. VERIFICATION

A “Verified Supplier” or similar badge indicates that the Seller has completed certain verification checks specified
by TradeVistar.
Verification does not constitute a guarantee of Product quality, financial solvency, future performance, insurance or
unconditional endorsement.
Buyers should conduct appropriate commercial due diligence.

1. FRAUD AND RISK MANAGEMENT

TradeVistar may monitor transactions, request additional documents, restrict accounts, hold or delay certain
workflows where legally and operationally permitted, cancel suspicious transactions and report suspected
unlawful activity to appropriate authorities where required.
Users agree to cooperate with reasonable investigations.

1. THIRD-PARTY SERVICES

TradeVistar may integrate third-party services including payment providers, logistics providers, communication
providers, identity/KYC providers, analytics providers and cloud infrastructure providers.
Use of such services may be subject to the third party’s terms and policies.

1. PLATFORM AVAILABILITY

TradeVistar aims to provide continuous access but does not guarantee uninterrupted availability.
The Platform may become unavailable due to maintenance, technical failures, cybersecurity incidents,
internet/network failures, third-party service interruptions or force majeure.

1. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, TradeVistar shall not be responsible for indirect, incidental,
special, consequential or punitive losses arising from transactions between Buyers and Sellers.
Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.

1. INDEMNIFICATION

Users agree to indemnify and hold harmless TradeVistar, its directors, officers, employees and service providers
from claims, losses, liabilities, costs and expenses arising from:
Breach of these Terms
Fraudulent activity
Illegal activity
Product-related violations
Intellectual property infringement
Misuse of the Platform
False information supplied by the User

1. SUSPENSION AND TERMINATION

TradeVistar may suspend, restrict or terminate an account if:
These Terms are breached
Fraud is suspected
KYC information is false
Payment abuse is detected
Prohibited Products are listed
Legal/regulatory requirements require action
Termination does not automatically extinguish obligations that accrued before termination.

1. PRIVACY

Use of personal information is governed by the TradeVistar Privacy Policy.
Users should review the Privacy Policy before using the Platform.

1. GRIEVANCE REDRESSAL

TradeVistar shall maintain an appropriate grievance mechanism as required by applicable law.

These Terms shall be governed by the laws applicable in India.

TradeVistar may update these Terms from time to time.
The updated version will be published on the Platform with the revised “Last Updated” date.
Continued use of the Platform after an update constitutes acceptance of the revised Terms, subject to applicable
